1 Acceptance of Terms

By accessing or using LedgrBee ("the Service", "the Platform"), operated by LedgrBee ("Company", "we", "us", or "our"), you ("User", "you", "your") agree to be legally bound by these Terms of Use ("Terms") and all policies incorporated by reference, including our Privacy Policy, Cookie Policy, and Disclaimer.

If you are entering into these Terms on behalf of a company or other legal entity ("Organisation"), you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Service.

If you do not agree to these Terms, please discontinue use of the Service immediately.

2 Description of Services

LedgrBee is a cloud-based, multi-tenant business operations platform that provides tools for:

Customer Relationship Management (CRM)
Sales, invoicing, and financial document management
Purchasing and inventory management
Project and task management
Financial accounting and transaction tracking
HR and payroll management
Business analytics and reporting

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice to active subscribers.

3 User Accounts and Tenant Administration

3.1 Account Registration

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your login credentials.

3.2 Tenant Accounts

LedgrBee operates on a multi-tenant architecture. Each subscribing organisation ("Tenant") is provisioned an isolated workspace. The designated Tenant Administrator is responsible for managing user access within their organisation.

3.3 Account Security

You are solely responsible for all activity that occurs under your account. You must immediately notify us of any unauthorised use of your account at support@ledgrbee.com. We are not liable for any loss resulting from unauthorised use of your account.

3.4 Account Eligibility

You must be at least 18 years of age to use this Service. By using the Service, you represent that you meet this requirement.

4 Acceptable Use Policy

You agree not to use the Service to:

Violate any applicable local, national, or international law or regulation
Transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material (spam)
Upload, store, or transmit any material that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, obscene, or otherwise objectionable
Impersonate any person or entity or falsely state your affiliation with any person or entity
Attempt to gain unauthorised access to any part of the Service, other accounts, or computer systems connected to the Service
Engage in any activity that interferes with or disrupts the Service or the servers and networks connected to the Service
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
Use the Service for any fraudulent, deceptive, or misleading purposes
Store or process personal data in violation of applicable data protection laws

Violation of this Acceptable Use Policy may result in immediate termination of your account without refund.

5 Your Data

5.1 Data Ownership

You retain full ownership of all data you input into the Service ("Your Data"). We do not claim any ownership rights over Your Data.

5.2 Data Licence

By using the Service, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display Your Data solely for the purpose of providing the Service to you.

5.3 Data Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of Your Data. You represent and warrant that you have all rights necessary to upload and process the data you submit to the Service.

5.4 Data Portability and Deletion

Upon termination, you may request an export of Your Data within 30 days. After this period, we reserve the right to permanently delete Your Data from our systems.

6 Billing and Payment

6.1 Subscription Plans

LedgrBee offers Free, Starter, Professional, and Enterprise subscription plans. Plan details, pricing, and included features are described on our Pricing page and are subject to change with 30 days' notice.

6.2 Free Trial

New tenants receive a 14-day free trial with full platform access. No payment information is required during the trial period. At the end of the trial, the account will be downgraded to the Free plan unless a paid subscription is activated.

6.3 Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law or as otherwise stated in writing.

6.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your use of the Service.

6.5 Late or Failed Payments

Failure to pay subscription fees may result in downgraded access or suspension of your account until outstanding balances are settled.

7 Intellectual Property

The Service, including all software, interfaces, graphics, logos, and content created by LedgrBee, is the exclusive property of LedgrBee and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for your internal business purposes during the term of your subscription.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Service without our prior written consent.

8 Termination

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing use of the Service.

We reserve the right to suspend or terminate your access immediately, without prior notice, if we reasonably believe you have violated these Terms, applicable law, or if your account poses a security risk to the platform or other users.

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will do so, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

9 Limitation of Liability

Important — please read this section carefully as it limits our liability to you.

To the maximum extent permitted by applicable law, LedgrBee shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, service interruption, computer damage, or system failure.

In no event shall LedgrBee's total aggregate liability to you for all claims arising out of or related to these Terms exceed the greater of (a) the total fees paid by you in the twelve (12) months preceding the claim, or (b) USD $100.

The Service is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied.

10 Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where LedgrBee is incorporated, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or your use of the Service shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration or, where arbitration is not permitted, to the exclusive jurisdiction of the courts in LedgrBee's principal place of business.

11 Changes to These Terms

We reserve the right to update these Terms at any time. We will provide at least 14 days' notice of material changes via email or a prominent notice within the Service.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must discontinue use of the Service.
